Affiliate Program Terms

Effective June 11, 2026

1. Acceptance

By creating an AdTubio affiliate account ("Account"), you ("Affiliate", "you") agree to these Affiliate Program Terms ("Terms"). AdTubio, LLC ("AdTubio", "we") may update these Terms at any time. Continued participation after a change constitutes acceptance.

2. Eligibility

You must be 18+, legally able to enter contracts in your jurisdiction, and provide accurate identity and tax information. We may refuse, suspend, or terminate any Account at our sole discretion.

3. Referrals & Attribution

  • Your unique referral link sets a 30-day last-touch attribution cookie. A referral is credited to you when a new client signs up and pays their first invoice within that window.
  • Self-referrals (using your own link to create a client account under yourself) are not eligible and will be voided.
  • We are the sole arbiter of attribution disputes. Last-touch wins unless we identify abuse.

4. Commission Rates

  • 10% — direct sale you closed
  • 5% — L1 override on direct sales of affiliates you sponsored
  • 2% — L2 override
  • 1% — L3 override

Commissions are calculated on net collected revenue (after refunds, chargebacks, taxes, fees, and discounts). Commission plans assigned to your account at the time of sale govern the actual rate.

5. Payouts

  • Commissions accrue as pending on payment, mature to approved after a 30-day clawback window, and are paid monthly.
  • Minimum payout is $50. Balances below the minimum roll into the next cycle.
  • Payouts require a valid W-9, signed Independent Contractor Agreement, and a configured payout method (ACH, PayPal, or check).
  • We are not liable for delays caused by your bank, PayPal, or postal service.

6. Refunds & Clawbacks

If a client invoice is refunded, charged back, or voided, the corresponding commission events (direct and overrides) are reversed automatically. Reversals may be deducted from future payouts or invoiced to you if your balance is insufficient.

7. Promotion Rules

  • You must disclose your affiliate relationship per FTC guidelines (16 CFR Part 255).
  • No spam, deceptive email, cookie stuffing, paid search bidding on AdTubio trademarks, or trademark cloaking.
  • No false claims about AdTubio's services, pricing, results, or guarantees.
  • You may not pose as AdTubio or imply employment by AdTubio.

8. Independent Contractor

You are an independent contractor, not an employee, partner, agent, or joint venturer of AdTubio. You are solely responsible for your own taxes, expenses, and compliance with applicable laws.

9. Termination

Either party may terminate this relationship at any time, with or without cause. Upon termination, unpaid approved commissions are paid in the next regular cycle; pending commissions are forfeited if the underlying invoice has not yet matured. Violations of Section 7 may forfeit all unpaid balances.

10. Confidentiality

Non-public information you receive about AdTubio, its clients, pricing, internal tools, or commission structure is confidential and may not be disclosed.

11. Limitation of Liability

To the maximum extent permitted by law, AdTubio's total liability under this program is limited to commissions actually earned and unpaid at the time of the claim. AdTubio is not liable for indirect, incidental, or consequential damages.

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Disputes are resolved by binding arbitration in Florida.
